ANSON TACTICAL LTD GENERAL CONDITIONS OF SALE


OUR QUOTATION is subject to our confirmation at the time of our acceptance of your order and unless extended by us in writing is valid for 30 days from the date thereof. The following terms and conditions will apply to any contract resulting from our quotation.

1. Limits of Contract Our quotation includes only such equipment, accessories and work as specified therein. We reserve the right to modify the equipment provided such modifications shall not impair the performance of the supplied equipment or affect the contract price or the delivery date.

2. Packing Unless otherwise specified in our quotation all packing in accordance with our standard practice is included and is non-returnable.

3. Drawings etc. All drawings, descriptive matter, weights and dimensions submitted with our quotation are approximate only and the descriptions and illustrations contained in our catalogues, price lists and other advertising matter are intended to present a general idea of the equipment described therein and none of these shall form part of the contract.

4. Performance Any performance figures given by us are based upon our experience and are such as we expect to achieve on test in our works.

5. Works Inspection All our equipment is carefully inspected and where appropriate submitted to standard tests at our premises before despatch. If you wish to attend our works to witness such inspection or tests or if you require additional tests performed by us prior agreement thereon with us is necessary and we reserve the right to make an additional charge and/or amend the delivery date accordingly.

6. Delivery Unless otherwise specified in our quotation delivery shall be made to your United Kingdom mainland premises.

Unless otherwise agreed in writing the time that risk in the equipment shall pass to you under the contract shall be on delivery.

Where the contract provides for delivery to your United Kingdom mainland premises we shall, at our option, repair or replace free of charge any equipment damaged in transit PROVIDED THAT we receive written notification of such damage within three days of the date of delivery but not otherwise.

7. Liability for Delay Any dates or times quoted for despatch or delivery are our estimates and impose no liability on us but we will use all reasonable endeavours to comply with such estimates. Such dates or times quoted are to date from receipt and acceptance by us of a written order, any necessary information and drawings to enable us to put the work in hand and any other requirements expressed in our quotation. The time for despatch or delivery shall be extended by a reasonable period if delay in despatch or delivery is caused by instructions or lack of instructions from you or by industrial dispute or by any cause beyond our reasonable control.


8. Terms of Payment The prices in our quotation are nett of Value Added Tax which will be charged additionally at the rate ruling at the date of invoice. Unless stated to the contrary in our quotation payment is to be made by you via a pro-forma invoice to us. We reserve the right to charge interest at 3% per month or part thereof above the base rate of National Westminster Bank plc on any overdue payment in addition to and not in substitution of our rights at law.

9. Liability for Defects We will make good by repair or at our option by the supply of a replacement any defects which under proper use, care and maintenance appear in any part of the equipment of our own manufacture within a period of twelve (6) calendar months after the equipment has been delivered or if delivery is delayed by reason of your instructions or lack of instructions within a period of twelve (6) calendar months after we have notified you that the equipment is ready for despatch from our works provided that such defects arise solely from defective design (other than a design made furnished or specified by you), materials or workmanship. Wherever practicable, any defective parts shall be returned to us if we should have so requested. Repaired or replaced parts shall be delivered by us free of charge as provided in Clause 6 (Delivery). Items and goods not of our manufacture are expressly excluded from the warranty in this Clause. We will, however, give you a guarantee equivalent to the guarantee (if any) which we may have received from the supplier of such parts but not so as to impose on us in respect of such parts a liability greater than that which we would have otherwise accepted under this Clause 9.

The provisions of this Clause together with those of Clause 10 shall be the full extent of our liability for defects in or damage to the equipment and any services furnished hereunder and shall be in lieu of any warranty, condition or liability implied by law all of which are hereby expressly excluded.


10. Re-Sale Should the equipment be required directly or indirectly for export outside of the United Kingdom this should be advised to us in writing prior to placement of your order with us. You shall be responsible at your cost and account for compliance with all necessary governmental approvals and authorities regarding the export of the equipment from the United Kingdom and/or use or sale of the equipment in a foreign country.

11. Cancellation We reserve the right at our sole discretion without liability and without prejudice to any other remedy we may have to cancel any uncompleted order or to suspend delivery in the event of breach by you of this or any other contract with us. For the avoidance of doubt breach shall include failure by you to make payment to us in the times or by the dates as agreed in contract.

12. Waiver No delay, neglect or forbearance on our part in enforcing any of these terms and conditions shall be deemed to be a waiver or create a precedent or in any way prejudice our rights under the contract.

13. Headings The headings of the terms and conditions are inserted for convenience of reference only and shall not be taken to affect the meaning or interpretation of any of the terms or conditions contained herein.

14. Validity of Conditions Where there is a conflict between our conditions and any other conditions mentioned in or printed on any correspondence exchanged between us our conditions shall prevail.

15. Law The construction validity and performance of the contract shall be governed by the Law of England and shall be subject to the irrevocable jurisdiction of the English Courts.
